1. Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at www.closetsbydavidalan.com (the "Site") and any related content, forms, tools, and communications offered through the Site (collectively, the "Services"). The Site is owned and operated by Closets by David Alan ("Closets by David Alan," "we," "us," or "our"), located at 620 Washington Rd., Pittsburgh, PA 15228.

By accessing or using the Site, submitting a form, requesting a consultation, or opting in to receive communications from us, you agree to be bound by these Terms and by our Privacy Policy (www.closetsbydavidalan.com/privacy), which is incorporated by reference. If you do not agree to these Terms, please do not use the Site.

2. Eligibility

The Site is intended for use by individuals who are at least 18 years of age. By using the Site, you represent that you are at least 18 years old and are able to form a legally binding agreement.

3. Our Services

Closets by David Alan designs, builds, and installs custom closets, pantries, mudrooms, laundry rooms, home offices, entertainment centers, bookcases, and other custom storage solutions. The Site provides information about our services and allows you to request a consultation, design appointment, or estimate.

Information on the Site, including photographs, renderings, and project galleries, is for illustrative purposes only. Actual materials, finishes, colors, dimensions, and pricing are determined during your consultation and confirmed in a written proposal or contract. Nothing on the Site constitutes a binding offer, quote, or guarantee of price, availability, or timeline.

4. Consultations, Estimates, and Project Agreements

Submitting a consultation request through the Site does not create a contract for services. All design, fabrication, and installation work is governed by a separate written proposal or agreement signed by you and Closets by David Alan, which will set out the scope, pricing, payment terms, and schedule for your project. In the event of any conflict between these Terms and a signed project agreement, the signed project agreement controls with respect to that project.

5. Communications Consent (Phone, Email, and Text Messaging)

By providing your contact information through the Site or otherwise to Closets by David Alan, you agree that we may contact you by phone, email, and text message regarding your inquiry, consultation, and project. Text messaging is subject to the SMS Terms in Section 6 below. You may withdraw consent at any time as described in Section 6 and in our Privacy Policy.

6. SMS / Text Messaging Terms (A2P Messaging Program)

6.1 Program Description.Closets by David Alan offers a text messaging program to customers and prospective customers who opt in. Messages may include: responses to your inquiry, appointment confirmations and reminders, design and proposal follow-ups, project scheduling and installation updates, customer service messages, review requests, and occasional promotional offers or announcements about our products and services.

6.2 How You Opt In.You consent to receive text messages from Closets by David Alan when you (a) check the SMS consent box on a form on our Site and provide your mobile number, (b) text a keyword to our business number, or (c) otherwise provide your mobile number and expressly agree to receive text messages from us. Your consent to receive text messages is not a condition of purchasing any goods or services from us.

6.3 Message Frequency.Message frequency varies based on your inquiry and project activity.

6.4 Message and Data Rates.Message and data rates may apply. Please check with your wireless carrier for details about your plan.

6.5 How to Opt Out.You can cancel the SMS service at any time. Reply STOP to any message from us to unsubscribe. After you send STOP, we will send you one final message to confirm that you have been unsubscribed. After this, you will no longer receive text messages from us. If you want to join again, reply START or sign up again through our Site and we will start sending messages to you again.

6.6 Help.If you are experiencing issues with the messaging program, reply HELP to any message for more assistance, or contact us directly at info@closetsbydavidalan.com or 412-790-2121.

6.7 Carriers.Wireless carriers are not liable for delayed or undelivered messages.

6.8 Supported Carriers.The messaging program is available on most major U.S. carriers. Availability may vary by carrier.

6.9 Your Mobile Number.You represent that you are the account holder or authorized user of the mobile number you provide. If you change or deactivate your mobile number, you agree to notify us promptly so that we do not send messages to a number that no longer belongs to you.

6.10 Privacy of Mobile Information.No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except with service providers acting on our behalf to deliver the messages. 7. User Submissions

When you submit information through the Site (for example, a consultation request, photos of your space, or a review), you represent that the information is accurate and that you have the right to share it. You grant Closets by David Alan a non-exclusive, royalty-free license to use the information you submit for the purpose of responding to your request and providing our services. We will handle your personal information in accordance with our Privacy Policy.

We may, with your separate permission, use photographs of completed projects and customer testimonials in our marketing materials. We will not identify you by full name or address without your consent.

8. Intellectual Property

All content on the Site, including text, graphics, logos, photographs, renderings, designs, videos, and software, is the property of Closets by David Alan or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. The Closets by David Alan name and logo are trademarks of Closets by David Alan. You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any Site content without our prior written permission, except for personal, non-commercial viewing.

Custom designs, drawings, and 3D renderings prepared for you remain the intellectual property of Closets by David Alan unless otherwise stated in your signed project agreement.

9. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) attempt to gain unauthorized access to the Site, its servers, or any connected systems; (d) use any automated means (bots, scrapers) to access the Site without our permission; (e) interfere with the proper working of the Site; or (f) upload any content that infringes the rights of others or contains viruses or malicious code.

10. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services (for example, review platforms, social media, scheduling tools, or financing partners). These are provided for your convenience only. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site or service. Your use of third-party sites is at your own risk and subject to their terms.

11. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. This section applies to the Site only; warranties on installed products, if any, are set out in your signed project agreement.

12. Limitation of Liability

To the fullest extent permitted by law, Closets by David Alan and its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages. In no event shall our total liability arising from your use of the Site exceed one hundred dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Closets by David Alan and its owners, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, available at www.closetsbydavidalan.com/privacy, which describes how we collect, use, and protect your personal information, including your mobile phone number and text messaging consent.

15. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted on the Site, and the "Last Updated" date above will be revised. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. Material changes to the SMS program will be communicated to opted-in subscribers where required by law.

16. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.

17. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to the personal jurisdiction of those courts. This Section does not apply to disputes under a signed project agreement, which are governed by the dispute terms in that agreement.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Closets by David Alan regarding your use of the Site.
